REPORTS TO: COMPANY SECRETARY

KEY RESPONSIBILITIES:

  • Reviewing and providing legal advice on Memorandum of understanding and contracts.
  • Providing legal protection and risk management advice to management, especially on contract management.

§ Reviewing and advising management on legal implications of internal policies and procedures through Legal Compliance Audits.

  • Conducting regular compliance audits of departments to continuously monitor compliance with Statutory Obligations and Principles of Good Corporate Governance.
  • Assisting in ensuring the Board’s conformity to both internal and external legal and regulatory frameworks.

§ Drafting and reviewing all contracts or any other documentation to which the Board is set to commit itself and assessing the legal implications that need to be brought to the senior management’s attention.

  • Provide concise legal support and advice relating to the conduct of the Board based on sound legal principles; Review, draft and provide legal advice on the adequacy of legal documents for management concerning third party contracts.
  • Provide instructions for various litigation matters affecting the Board and ensure the best strategy is employed by external service providers in handling the litigation.

§ Preparing monthly and quarterly reports for the department for executive management meetings.

§ Attending management meetings in the absence of the Company Secretary.

  • Preparing and submitting quarterly Corporate Governance reports to the Company Secretary for review and consideration.

QUALIFICATIONS & EXPERIENCE

§ Bachelor’s Degree in Law Honors (LLBs)

§ Strong knowledge of applicable laws and regulations

§ Minimum of 2 years of commercial experience of which one (1) should be in providing legal services
